Statement of Assumptions and Limiting Conditions

This valuation report has been made with the following general assumptions and limiting conditions.

1. Compensation paid to the Appraiser for this assignment is independent of the value reported, and is not contingent upon the report of a predetermined value or direction in value that favors the cause of the client, the attainment of a stipulated result, or the occurrence of a subsequent event directly related to the appraisal. 2. Neither the Appraiser nor any employee of Certified Asset Appraisals, Inc. has any present or prospective interest in or any personal interest with respect to the parties, or any other interest or bias which would impair a fair and unbiased appraisal. 3. The valuation is a “Desktop Appraisal”. The Appraiser did not undertake a physical inspection of the assets but relied on information, in the form of depreciation schedules, provided by the client. Such information was assumed to be reliable, however, no warranty is given as to the accuracy of such information. 5. This report has been made only for the purposes stated and shall not be used for any other purpose. Neither this report nor any portion thereof shall be disseminated to third parties by any means without the prior written consent of and approval of the Appraiser and the Client. 6. Neither the Appraiser, Ken Fancolly, nor any individual signing or associated with this report shall be required by reason of this report to give testimony or appear in court or other legal proceedings unless specific arrangements have been made. 7. The estimates of value presented in this report were determined by implementing standard and accepted valuation procedures. This valuation is valid only for the effective date or dates specified herein and only for the valuation purpose or purposes specified. 4. No one provide significant professional assistance to the Appraiser, whose signature is shown in this report. Copies not bearing such authentications are unauthorized, invalid, and incomplete.

8. This report was prepared in accordance with Uniform Standards of Professional Appraisal Practice (USPAP) and Practices of the Certified Appraisers Guild of America.
