INTRODUCTION

Certified Asset Appraisals, Inc. (CAA) has been retained by New Village Institute Blairsville (BVI) to provide professional valuation services.

PURPOSE, INTENDED USE, AND INTENDED USERS OF THE APPRAISAL

The purpose of this appraisal is to estimate the replacement cost and fair market value of certain tangible assets in place and in use or to be acquired by BVI at the Valuation Date.

The intended use of this appraisal is to assist the management of BVI with insurance replacement value purposes and for overall balance sheet asset valuation. BVI ’ s financial reporting involves establishing a basis for allocating the purchase price of the acquired assets. The procedural steps are in compliance with the provisions of Accounting Standards Codification Topic 805, Business Combinations (ASC 805).

This appraisal report has been prepared for the sole use of BVI and BayFirst National Bank. Other than to to these entities, the appraisers disclaim any responsibility for the contents of this report.

This appraisal is presented as a Summary Appraisal Report. Its format complies with Standards Rule 8-2(b) of the Uniform Standards of Professional Appraisal Practice (USPAP) and contains all information significant to the solution of the appraisal assignment.

HISTORY AND BACKGROUND – NEW VILLAGE INSTITUTE

The BVI acquired the closed former WyoTech automotive technology college and reopened the campus. The

facility encompasses more than 282,00 square feet on 27-acres. BVI offers six-month technical education

programs in automotive and diesel technology, chassis and power trains, fluid power and electrical systems,

drivability diagnosis, and other automotive areas.
