Seller’s Agreement Before you sell your collector car with Henderson Auctions, whether through a live auction or online auction, you must sign an exclusive consignment agreement. The agreement contains our terms and fees for the auction. Shipping and Storage Arrangements Once we have received a seller’s agreement, we will contact you to discuss the transportation of the car to our auction storage facility. Additionally, housing all the vehicles in one accessible setting provides us a unique ability to offer on-site inspections for interested buyers. Catalogue Description, Photography and Videography When your car or item arrives at our facility, it will be professionally handled and photographed, and a description will be researched and written, so that it can be marketed in advance of the sale. Our photographers, writers, and researchers are among the best in the business with cataloguing writers showcasing your car with an artist’s eye. After the Auction After a successful sale, you will be notified of the final bid price for your consignment. Once payment is received, we will release the car as well as send the vehicle’s document binder, title, and any accompanying items to the winning bidder. If a buyer was not found, you will be able to speak with a specialist to discuss possible post-auction sales or additional marketing efforts. Approximately 15 days after each auction, Henderson Auctions will settle payment for sales, by providing consignors with a settlement statement itemizing all charges.

The commission percentage rate will be in accordance with the Auction Fee Schedule below. At the time of signing this Agreement, OWNER has entered into an Agreement to deliver and offer their assets for sale by Henderson Auctions for the reserve price stated, unless the assets are marked in this Agreement to be auctioned without reserve. The reserve price is an expected selling price that is inclusive of the auction commission. The Auctioneer reserves the right to lower the commission in order to sell the car with the OWNER's net figure being unchanged. The OWNER may verbally agree to lower the reserve price during the auction process. If an asset is checked into the auction and does not cross the auction block to be offered for sale because the OWNER has withdrawn the asset from the Auction, the OWNER agrees to pay the sale commission in full plus Buyer’s Fee on the stated reserve price unless specific written authorization is obtained from Henderson Auctions. OWNER agrees if he/she is the successful high bidder on his/her own consigned asset, OWNER will pay AUCTIONEER the appropriate commission plus Buyer’s Premium. "Without Reserve" means that the vehicle will sell to the highest bidder regardless of the price. These must be offered as Without Reserve prior to any bids being taken. "With Reserve" means the OWNER may place a minimum protective price on the vehicle. 1. Entry/Marketing fees are non-refundable and do not apply to commission. Marketing includes International Online Bidding with unlimited photos and video, Publication print ads (Tier 1/Premium Auction Package Listing including www.classicmotorsforsale.com, Hemmings, Old Cars, classics.autotrader.com, etc.), Social Media Advertising, Web banners and auction listings on related sites (ClassicCars.com, hemmings.com), global digital target marketing, person to person marketing at car shows, car auctions, association meetings, etc...), newspapers, signs (Lamar bill board signs, brochure and flier listings). 2. AUCTIONEER will charge the successful bidder a buyer’s premium of 10% (Ten Percent) for automobiles, motorcycles, and scooters and 20% (Twenty Percent) for memorabilia. This fee applies to the successful bidder only, of each item. 3. OWNER and AUCTIONEER agree that all checks shall be made payable to HENDERSON AUCTIONS. AUCTIONEER will be allowed a period of 15 banking days from the sale date in which to remit to OWNER his/her portion of the proceeds from said auction. 4. AUCTIONEER shall use OWNER’S name and in his/her behalf act fully and to the same extent as OWNER could do personally, to execute all necessary deeds, bills of sale, conveyances, and other instruments to every nature necessary or convenient to the carrying out the power of sale herein granted and the transfer of title to the property herein described to the respective buyers thereof. 5. OWNER hereby agrees to sell the above-mentioned property to the highest bidder and deliver to the purchaser Bills of Sale and Titles free and clear of ALL liens and encumbrances. 6. OWNER promises and agrees that the above-described property must be delivered to Barber Vintage Motorsports Museum (6030 Barber Motorsports Parkway, Leeds, Alabama 35094) from 7:00am to 8:00pm (CST) on Wednesday, June 22nd, 2022, and from 7:00am to 8:00pm (CST) on Thursday, June 23 rd , 2022 . In the event of a failure of OWNER to deliver said property, or if OWNER shall breach this Agreement, said OWNER agrees to pay the full commission and advertising costs as provided above plus any other damages that may occur to AUCTIONEER due to breach of Agreement or failure to deliver. Commission to be based on the fair market value of said vehicle(s), as determined by the reserve price set by OWNER or value determined by third-party appraiser of AUCTIONEER’s choosing. 7. OWNER agrees that after the execution of this Agreement, and throughout the term of this Agreement, that OWNER will not sell, or cause to be sold, any of the property described in this Agreement, save and except through the AUCTIONEER. 8. AUCTIONEER shall have the right, after receiving their compensation as provided herein, to use the residual funds to first pay true liens which are shown in the exhibits attached hereto or which may be brought to their attention, and which are not listed in said exhibits. 9. There is a $50 Title fee for each titled item. 10. Neither party shall be liable to the other for any inconsequential or direct losses or costs such as loss of profit or loss of sales. 11. Title: The Auctioneer must have title at time of check-in. Lost title applications or titles-in-transit must be cleared with AUCTIONEER in advance and may or may not be accepted. Serial number must match the title and be proper. All vehicles must be able to be legally titled. Final sale confirmation may be delayed until state authorities determine that your vehicle is legal to be titled. 12. In the event of a purchaser's failure to comply with the terms of sale, we will first attempt to resell the vehicle to another buyer for the same price. Failing that, the sale may be null and void. The Auction Company and/or OWNER may agree to pursue legal action to complete the sale, this may involve sharing the risk and expense of such action. 13. Insurance coverage must be provided against all perils and loss by OWNER including damage caused by another party. OWNER shall indemnify and hold harmless Henderson Auctions and Barber Vintage Motorsports Museum from and against all liability, loss, and damage arising from acts, incident, or accident. OWNER assumes full responsibility for his own consigned assets. Insurance responsibility passes to new buyer when the auctioneer declares vehicle(s) sold. OWNER’s insurance is the only insurance covering the operation and storage of OWNER’s vehicle. OWNER agrees to allow Henderson Auctions and its agents to move OWNER’s vehicle at OWNER’s risk, including driving and parking. 14. The term of this Agreement expires sixty (60) calendar days after the date of the Auction. If the consigned assets in this Agreement are sold within the term of this Agreement (whether sold by AUCTIONEER, OWNER, or others), OWNER agrees that the sale for those assets was made possible by the marketing efforts of the AUCTIONEER and OWNER agrees to pay to the AUCTIONEER the agreed upon commission percentage plus the Buyer’s Premium percentage calculated as determined by the reserve price set by OWNER or value determined by third-party appraiser of AUCTIONEER’s choosing. 15. Vehicles must be accurately described by OWNER including items working poorly or not working, description, history and mileage and any facts that may affect the selling price. 16. All vehicles that are “frame damaged” or have titles that read “salvage”, “Rebuilt”, “Insurance Totals”, or “Branded” are required to be declared in writing on the description line of this Agreement at the time of the Agreement’s execution. Failure to do so may result in sale rejection. Sale rejection for any of these reasons will make the OWNER subject to all auction sale fees. These fees may be withheld from any funds due to OWNER from this Auction or future Auctions. 17. NON-DISCLOSURE OF THIS AGREEMENT: OWNER agrees to not share this Agreement, nor disclose the terms of this agreement with anyone who is not a party to this Agreement. OWNER acknowledges that to do so will cause significant harm to the AUCTIONEER and accordingly agrees that AUCTIONEER is entitled to monetary damages against OWNER for sad disclosure in an amount of no less than five thousand dollars ($5,000.00). 18. I do hereby authorize Henderson Auctions to act as my ATTORNEY-IN-FACT in signing my name to any and all forms necessary for a transfer of my rights, title and interest in the motor vehicle(s) described below. 19. If any terms, conditions, covenant, Agreement, or provision of the Agreement of the application thereof to any circumstance shall, to any extent, be held by a court of competent jurisdiction or by any authorized governmental authority to be invalid, void, or unenforceable, the remainder of the Agreement shall not be affected by such holding, and the remaining terms, conditions, covenants, Agreements and provisions hereof shall continue in full force and effect.

Vehicle Photography Submission Guidelines 2022 Collector Motor Series Auction
The images you provide will be used for the vehicle listing on hendersonauctions.com and multiple other promotional publications and websites. The most successful tool to maximize your vehicle’s selling potential and highest net yields is great photo representation. Please submit up to 30 quality photos for review in order to maximize the marketing potential of your listing. The main photo is likely used for most promotional printed publications. BEST PRACTICES FOR OBTAINING PHOTOS AND MAXIMUM MARKETING EXPOSURE: • Use your Smartphone or Digital Camera and find an outdoor location to take your photos. Locations on pavement with an attractive or simple background are recommended. • Take your photos in a widescreen format (landscape). To do this, hold your phone or camera horizontally and back up until the entire vehicle fits within the screen. • If your photos are not acceptable, we can provide a photographer for a fee.

NOTICE: ALL LOTS MUST BE REMOVED FROM THE BARBER VINTAGE MOTORSPORTS MUSEUM PROPERTY NO LATER THAN TUESDAY, JUNE 28TH AT 3:00PM. ANY LOTS NOT REMOVED BY THIS TIME WILL BE TOWED FROM THE PREMISES BY WEIL WRECKER SERVICE FOR A TOWING FEE OF $200 PER LOT AND STORED AT A RATE OF $30 PER CALENDAR DAY AT WEIL’S STORAGE FACILTY, LOCATED AT 3400 2ND AVENUE, SOUTH BIRMINGHAM, AL 35222. NO GUARANTEE IS MADE FOR COVERED OR INSIDE STORAGE FOR ANY LOT. BUYER/OWNER IS RESPONSIBLE FOR MAKING ALL ARRANGEMENTS, INCLUDING PAYMENT, DIRECTLY WITH WEIL WRECKER SERVICE. AUCTIONEER: J.A.H. ENTERPRISES, INC. AND HENDERSON MOTOR SERIES, LLC COLLECTIVELY DBA HENDERSON AUCTIONS AND ITS AFFILIATES, SUCCESSORS, EMPLOYEES, ASSIGNS, SHAREHOLDERS, DIRECTORS, AND OFFICERS. LOT: ANY ITEM OFFERED FOR SALE BY AUCTIONEER CLOSING: THE COMPLETION OF TRANSFER OF OWNERSHIP TITLE OF AUCTION ITEM FROM OWNER TO BUYER. BIDDER TERMS 1. BIDDER agrees that his participation in this auction means that he has read and understood and will abide by the BIDDER’s terms, whether or not he has signed this agreement. 2. The BIDDER will be issued a BIDDER number for the purpose of auction participation. Invoicing and titling will match the information completed on the BIDDER’s registration. If the BIDDER’s number is lost, stolen, or misplaced, he remains liable for any bid, purchase, or action of anyone using his BIDDER number. 3. BIDDER consents to AUCTIONEER verifying BIDDER’s ability to pay, including credit check, bank reference, or by any other means. 4. This agreement shall be legally binding whether executed by electronic signature or initials or as a handwritten execution. 5. It is the responsibility of the BIDDER to thoroughly investigate and become familiar with the auction process, the suitability and condition of the assets in the auction “including age, mileage, hours, mechanical condition, legal use in any given usefulness, condition, genuineness, value, quality, merchantability, and/or fitness for use for any purpose. AUCTIONEER has not inspected or tested or verified the LOT and has no knowledge of the LOT’s history or condition. The BIDDER has the opportunit y, the right, and the sole responsibility to inspect and verify any LOT prior to placing a bid. It is the responsibility of the BIDDER to research any restrictions on LOTs purchased and to obtain any necessary import/export licenses, titles, or any other required documents for shipping. Winning BIDDERs agree to accept and pay for in full any LOTs awarded by AUCTIONEER regardless of thoughts, condition, defects, or imperfections. Any claims regarding mileage or hours are offered as opinions by the consignor and shall not be deemed as accurate unless investigated and determined to be accurate by BIDDER. 7. BIDDER agrees to make no claim against AUCTIONEER for an improper, inadequate, or inaccurate LOT description. jurisdiction, etc.” AUCTIONEER is not responsible for the accuracy of a LOT’s description whether giv en verbally or in writing in any medium. AUCTIONEER shall not be held responsible for adverting discrepancies or inaccuracies. 6. All LOTs are sold as is, where is, without warranty or guarantee, either expressed or implied, as to any LOTs

All claims or disputes or legal actions by any party to this agreement must be filed in the Circuit Court of Livingston Parish, Louisiana and all legal matters contemplated in this agreement will be governed by the laws of the State of Louisiana and that jurisdiction. 9. The BIDDER has had the opportunity to consult legal counsel and irrevocably waives any right to a trial by jury in any proceeding relating to a dispute about this agreement or the Auction. 10. The OWNER/CONSIGNOR may place a reserve on any of his/her LOTs, which is the minimum hammer price the owner is prepared to accept. That reserve amount is kept confidential by the AUCTIONEER. 11. The AUCTIONEER has the right to execute bids on behalf of the OWNER/CONSIGNOR up to the amount of the re- serve. 12. The BID CALLER has the sole discretion to determine the final high BIDDER, and can in his sole discretion open the bidding, close the bidding, exclude BIDDERs, recognize late BIDDERs, reopen closed bidding, and reopen bidding between tie BIDDERs. BIDDERs have the opportunity, where available, to bid in person, absentee, by proxy, by telephone, or through online bidding platform(s). Any notice of successful bidding or being outbid via online platform(s) or by any party other than the BID CALLER and Management for the AUCTIONEER does not constitute official notice. Official notice of award and whether or not a sale has taken place will only be given in the form of an invoice from the AUCTIONEER. AUCTIONEER has the right and sole discretion to amend or correct any invoice that is sent to a BIDDER. 13. AUCTIONEER’s internet bidding and telephone bidding features are offered w here available and when available. AUCTIONEER does not guarantee that these features or services will operate correctly or without interruption. AUCTIONEER is not responsible for delays, inaccuracies, errors, omissions, or mistakes by the BIDDER’s use of t hese services or by the AUCTIONEER’s performance of these services. BIDDER agrees that AUCTIONEER is not liable for BIDDER’s inability to access these services nor liable for any loss or damage incurred by BIDDER by using these services. Where telephone bidding is available, BIDDER consents to allowing AUCTIONEER to record the call. 14. AUCTIONEER is not liable for damaged, stolen, or lost LOTs and BIDDER waives his right to claim damages against AUCTIONEER for any associated loss. 15. AUCTIONEER is not liable for matching number errors. 16. LOTs that fail to meet the reserve price will be offered for sale by the AUCTIONEER after the LOT is removed from the auction block. Any LOTs sold by AUCTIONEER are subject to the same terms as LOTs sold on the auction block. 17. Once a LOT is called sold by the BID CALLER, the high BIDDER accepts responsibility to pay for said LOT and assumes all responsibility and liability for the LOT as though the sale was complete. 18 . BUYER agrees to pay for the LOT including BUYER’ s premium, taxes, and fees immediately following the auction. 19. AUCTIONEER will make every effort to deliver titles within 30 days of Auction. AUCTIONEER accepts no responsibility for delays outside its control. AUCTIONEER is not responsible for damages incurred by BUYER as a result of any title processing delay. 20. Any unpaid balance owed by BUYER, not paid within three banking days from Auction Day, is subject to interest charges at a rate of the greater of 2% per month or the maximum rate allowed by law, prorated daily beginning from the calendar day following the auction. 21. AUCTIONEER has a right to the following remedies in the event BIDDER defaults, including nonpayment or any breach of this agreement: A. Purchase the LOT at the BIDDER’s bid amoun t. B. Resell the LOT at Absolute Auction or by private sale without notice to BIDDER and hold BIDDER liable for any deficiency in the resale price.
C. Cancel the sale and retain BIDDERs deposit and/or payment as liquidated damages. D. Charge BIDDER’s credi t card for any amounts due to AUCTIONEER and/or CONSIGNOR. E. Take legal action against BIDDER to seek specific performance or take any other legal action to protect the interest of the AUCTIONEER and CONSIGNOR.

E. Take legal action against BIDDER to seek specific performance or take any other legal action to protect the interest of the AUCTIONEER and CONSIGNOR. F. BIDDER agrees to be liable for any costs and expenses caused by the BIDDER’s default including but not limited to attorney’s fees, court costs, commissions, entry fees, Buyer’s Premiums, freight, storage, or any other expenses.
This Agreement shall be binding upon and inure to the benefit of the parties and to their respective heirs, successors, and assigns.
