How to Sell your equipment at the September 13th-15th Auction: 1) Deliver your items to 13340 Florida Blvd. Livingston, LA 70754 (Monday-Friday 8am-4pm). 2) Yard personnel will assist with unloading your items, you will be given a ticket/contract, this ticket/stock number will be added to your auction items. Please make sure the ticket writer is aware of any outstanding qualities or faults in your equipment. Your job is done at this point! We pride ourselves on giving your equipment the best advertising and exposure in the auction industry, we market your equipment on a global level. 3) Upon delivery to our yard the consignors auction items are photographed, and some items will be videoed, then added online to our website www.HendersonAuctions.com. 4) Brochure Deadlines are critical for earning you top dollar! Your auction items earn 10%-15% more if you make our brochure. Brochure Deadline for the September 13th-15th auction is Thursday, August 23rd by 5:00pm CST...so bring your items NOW to the Livingston Yard. 5) The consignor’s equipment is then uploaded to Machinery Trader, Truck Paper, Tractor House, Rock & Dirt, Mascus.com, Machinio.com, cranenetwork.com, mylittlesalesman.com, etc... 6) Henderson Auctions utilizes (2) Online Auction platforms; Auction Time and Proxibid, this gives your equipment added marketing and pushes the sold price up by 20%. TERMS: BUYER – SUCCESSFUL BIDDER AT AUCTION

SELLER – OWNER AND CONSIGNOR OF AUCTION ITEM (ITEMS) AUCTIONEER – HENDERSON AUCTIONS a division of J. A. H. Enterprises, Inc. CLOSING – THE COMPLETION OF TRANSFER OF OWNERSHIP TITLE OF AUCTION ITEM FROM SELLER TO BUYER. This Auction Agreement is entered into by Henderson Auctions of Livingston Louisiana, hereinafter referred to as AUCTIONEERS, and SELLER listed above Hereinafter collectively referred to as SELLER under the following terms and conditions: Henderson Auctions agree to conduct a public auction sale of the items of property described on addendum A section of the contract. Auction to be conducted at 13340 Florida Blvd. Livingston, LA 70754 on the 13 th -15 th day of September 2018 . (1). OWNER agrees to pay AUCTIONEERS for the services rendered by AUCTIONEERS a commission of Ten Percent 10% of the gross receipts from all sales of the Property made during the effective period of this Auction Agreement whether such sales are made at public auction, by private sale or in any other manner. The effective period of this Auction Agreement will be for Ninety (90) consecutive calendar days starting on the effective date stated herein. Special Terms:_________________________________________________ (3). OWNER and AUCTIONEERS agree that all checks shall be made payable to HENDERSON AUCTIONS. AUCTIONEERS will be allowed a period of 15 banking days from the sale date in which to remit to OWNER his/her portion of the proceeds from said auction, and at the same time, AUCTIONEERS will provide OWNER with a written itemization of each item of Property sold, the selling price, and the actual dollar amount received therefore. (4). AUCTIONEERS shall use OWNER’S name and in OWNER’S behalf act as fully and to the same extent as OWNER could do personally, to execute all necessary deeds (if any), bills of sale, conveyances and other instruments to every nature necessary or appropriate to the carrying out the power of sale herein granted and the transfer of title to the Property herein described to the respective buyers thereof; provided, however, that AUCTIONEERS shall not make or provide buyers or any other persons with any oral or written representations or warranties on OWNER’S behalf relating to any items of Property, which Property shall be sold “ AS IS, WHERE IS, AND WITH ALL FAULTS ” in each instance. (2). AUCTIONEERS agree to prepare all advertising material and publicity necessary to advertise and promote attendance of buyers and shall be paid the sum of $0 for same.

(5). OWNER hereby agrees to sell the above-mentioned Property to the highest bidder and deliver to the purchaser Bill of Sale and Titles free and clear of ALL liens and encumbrances.

(6). OWNER agrees that during the effective period of this contract OWNER will not sell, or cause to be sold, any of the Property described in this agreement, save and except through the AUCTIONEERS.

(7). AUCTIONEERS shall have the right, after receiving their compensation as provided herein, to use the residue funds to the extent required to first pay true, verified liens, if any, which are shown in the exhibits attached hereto or which may be brought to their attention and which are not listed in said exhibits. (8). OWNER agrees to hold AUCTIONEERS free from any damages or losses that may occur to equipment or merchandise while preparing for said auction, excepting AUCTIONEERS’ gross negligence or willful misconduct.

(9) Except as may be otherwise provided herein, neither party shall be liable to the other for any inconsequential or direct losses or costs such as loss of profit or loss of sales.

(10) $50 Title Fee for All Titles Items

(11) $50 Minimum Commission Fee on All Lots

(12) Default by BUYER. In the event of default by the BUYER of any obligation set forth in this Agreement, SELLER, in SELLER’S sole discretion, shall have the option to:

a. Terminate this Agreement, with no further obligation on the part of SELLER in which case the BUYER shall forfeit its Deposit and the Deposit, if received, shall be divided equally between SELLER and AUCTIONEER. b. In cooperation with AUCTIONEER Seek specific performance against BUYER for the enforcement of BUYER’S obligations under Louisiana law, including, but not limited to, the payment of the Purchase Price. c. SELLER shall not be entitled to any other remedy except as set forth above. This Agreement, including the Exhibits attached hereto, constitutes the entire agreement between the parties and it shall not be changed except by a written document signed by both parties. This Agreement shall be binding upon and inure to the benefit of the parties and to their respective heirs, successors and assigns.
